Welcome to the Akrylic website (the "Site") operated by Akrylic ("Akrylic," "we," "our," or "us"). Please read these terms and conditions of service ("Terms") carefully as they contain the legal terms and conditions that you agree to when you access the Site or our services and content which are provided through the Site ("Services"). Users of the Site (including you, depending on the context) may be referred to in these Terms as "Users."
BY ACCESSING OR USING THE SITE OR ANY OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS, WHETHER YOU ARE AN Akrylic ACCOUNT HOLDER OR A CASUAL VISITOR OF THE SITE. SECTION 7 OF THESE TERMS APPLY ONLY TO THOSE USERS WHO REGISTER FOR AND CREATE AN ACCOUNT ON THE SITE ("ACCOUNT"). YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS BY ACCESSING OR BROWSING THE SITE, BY TICKING A BOX INDICATING ACCEPTANCE TO THESE TERMS, BY CREATING A USER ACCOUNT, BY PAYING FOR OR SUBSCRIBING TO SERVICES, OR BY OTHERWISE INDICATING YOUR ASSENT TO THESE TERMS.
SECTION 14 OF THESE TERMS CONTAINS PROVISIONS THAT GOVERN HOW DISPUTES BETWEEN YOU AND Akrylic ARE RESOLVED. IN PARTICULAR, THE CLASS ACTION WAIVER AND JURY TRIAL WAIVER IN SECTION 14 WILL LIMIT THE RELIEF AVAILABLE TO YOU IN EVENT OF A DISPUTE WITH Akrylic.
IF YOU SUBSCRIBE TO SERVICES FOR A TERM (THE "INITIAL TERM"), THEN YOUR SUBSCRIPTION FOR SUCH SERVICES ("SUBSCRIPTION") WILL BE AUTOMATICALLY RENEWED FOR SUCCESSIVE TIME PERIODS DESCRIBED IN THE SUBSCRIPTION DETAILS AND WILL CONTINUE UNLESS YOU CANCEL YOUR SUBSCRIPTION IN ACCORDANCE WITH SECTION 7.5 BELOW.
In the case of inconsistencies between these Terms and information included in off-line materials (e.g., promotional materials and mailers), these Terms will always govern and take precedence.
1.1 Right to Access. Subject to your compliance with these Terms, you may access and use the Site, Services, and Akrylic Content (as defined below) solely for lawful purposes and only while these Terms remain in effect. Any rights granted to you under these Terms will be revoked upon termination or expiration of your agreement to these Terms for any reason. All Akrylic Content is for your informational purposes only and you are solely responsible for verifying the accuracy, completeness, and applicability of all Akrylic Content prior to making use of, or relying upon, that Akrylic Content. Akrylic has not verified the accuracy of and will not be responsible for any errors or omissions in any Akrylic Content. You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Akrylic Content, Services, use of the Akrylic Content or Services, or access to the Akrylic Content or Services. "Akrylic Content" means all content, including all text, audio, video, photographs, illustrations, graphics, checklists, and other content or media, provided by or on behalf of Akrylic through the Site or Services.
1.2 Availability; Changes. Akrylic will use reasonable commercial efforts to minimize disruptions to the Site and Services. However, Akrylic shall not be liable to you for any modification, suspension, or discontinuance of the Site or Services. You are responsible for making all arrangements necessary for you to access the Site and Services. Akrylic reserves the right at any time and from time to time to modify, restrict, or discontinue the Site and Services, temporarily or permanently, with or without notice, with no liability to you or any third party.
1.3 Third-Party Links. Akrylic may provide links to third-party websites for your convenience. However, Akrylic does not endorse or take responsibility for the content or availability of these websites. By accessing linked websites, you do so at your own risk, and Akrylic is not liable for any resulting loss or damage.
Akrylic may amend these Terms for any reason at any time by posting amended Terms on the Site or by providing you with notice through the Site or Services. You agree to review the posting of these Terms periodically to be aware of such changes. Your continued use of the Site or Services following such changes constitutes acceptance of any amendments, additions, or modifications to these Terms.
3.1 User Content. By using any of the Site or Services, you agree that you will not distribute any User Content (defined below) that: (a) is defamatory, abusive, harassing, threatening, bigoted, hateful, racially, or otherwise offensive, violent, vulgar, obscene, or pornographic; (b) otherwise harms or can reasonably be expected to harm any person or entity; (b) is illegal or encourages or advocates illegal activity; (c) infringes or violates any right of a third party including: (i) copyright, patent, trademark, trade secret or other proprietary or contractual rights; (ii) right of privacy (specifically, you must not distribute another person's personal information of any kind without their express permission) or publicity; or (iii) any confidentiality obligation; (d) contains a virus or other harmful component, or otherwise tampers with, impairs, or damages the Site, Services, Akrylic Content, or any connected network, or otherwise interferes with the use or enjoyment of the Site, Services, or Akrylic Content; (e) does not generally pertain to the designated topic or theme of the Site; (f) violates any specific restrictions applicable to a public forum, including its age restrictions and procedures; or (g) is antisocial, disruptive, or destructive.
3.2 Use of the Site and Services. You expressly agree that you are solely responsible for any and all acts and omissions that occur under your Account, and you agree not to engage in any unacceptable uses of the Site or Services, which include, without limitation, use of the Site or Services to: (a) register for the Site and the Services if you have not acknowledged reading and agreed to abide by these Terms and all other rules and policies relating to the Site; (b) copy, modify, transmit, distribute, or otherwise exploit in any manner Akrylic Content, Services, or any other such information available on or through the Site other than as expressly permitted; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Site or Services, except as expressly permitted in these Terms or by law; (d) remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Site or Services, features that prevent or restrict the use or copying of any content accessible through the Site or Services, or features that enforce limitations on use of the Site or Services; or (e) attempt to gain unauthorized access to the Site or Services, other accounts, computer systems, or networks connected to the Site or Services through hacking, password mining, or any other means.
"User Content" means any and all information and content that a User submits to, or uses with, the Site or Services (e.g., content in the User's profile or postings). You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness, or usefulness by others, or any disclosure of your User Content that personally identifies you or any third party. You hereby represent and warrant that your User Content does not violate Section 3.1. You may not represent or imply to others that your User Content is in any way provided, sponsored, or endorsed by Akrylic. Because you alone are responsible for your User Content, you may expose yourself to liability. Akrylic is not obligated to backup any User Content, and your User Content may be deleted at any time without prior notice. You are solely responsible for creating and maintaining your own backup copies of your User Content if you desire.
You hereby grant, and you represent and warrant that you have the right to grant, to Akrylic an irrevocable, nonexclusive, royalty-free and fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content, and to grant sublicenses of the foregoing rights, solely for the purposes of including your User Content in the Site and Services. You hereby irrevocably waive (and agree to cause to be waived) any claims and assertions of moral rights or attribution with respect to your User Content.
You agree to indemnify and hold Akrylic, its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (collectively, the "Akrylic Parties") harmless from any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of: (a) your User Content; (b) your use of, or inability to use, the Site or Services; (c) your violation of these Terms; (d) your violation of any rights of another party, including any Users; or (e) your violation of any applicable laws, rules or regulations. Akrylic reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Akrylic in asserting any available defenses. You agree that the provisions in this section will survive any termination of your Account, these Terms, or your access to the Site or Services.
7.1 Account Creation. In order to use certain features of the Site or Services, you must register for an account ("Account") and provide certain information about yourself as prompted by the account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by following the instructions on the Site. Akrylic may suspend or terminate your Account in accordance with Section 8.
7.2 Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login credentials and are fully responsible for all activities that occur under your Account. You agree to immediately notify Akrylic of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. Akrylic cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
7.3 Account Security. You acknowledge and agree that you are responsible for maintaining the confidentiality of your Account password and username, if applicable, and for all activities that occur under your Account, whether or not you have authorized such activities. Akrylic will not be liable for any loss or damage arising from your failure to comply with your obligations under this section.
7.4 Account Suspension. Akrylic reserves the right to suspend or terminate your Account if you violate these Terms or any other policy of Akrylic, or if you engage in any conduct that Akrylic, in its sole discretion, believes is harmful to other Users, Akrylic, or any third party.
7.5 Subscription Cancellation. If you have subscribed to Services, you may cancel your Subscription at any time. Upon cancellation, your Subscription will remain active until the end of your current billing period, after which your access to the Services will terminate. You will not receive a refund for any fees already paid. If you cancel your Subscription, you will continue to have access to the Services until the end of your current billing period.
Akrylic may terminate or suspend your Account and access to the Site and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site or Services will immediately cease. If you wish to terminate your Account, you may simply discontinue using the Site or Services, or you may contact Akrylic to request deletion of your Account. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
THE SITE, SERVICES, AND Akrylic CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Akrylic AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
YOUR USE OF THE SITE, SERVICES, AND Akrylic CONTENT, AND ANY RELIANCE UPON ANY OF THE FOREGOING, IS AT YOUR SOLE RISK AND YOU ASSUME FULL RESPONSIBILITY FOR ALL COSTS ASSOCIATED WITH YOUR USE OF THE SITE, SERVICES, AND Akrylic CONTENT. YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL Akrylic BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES. IF YOU ARE DISSATISFIED WITH THE SITE, SERVICES, Akrylic CONTENT, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND THE SERVICES.
You hereby agree to indemnify, defend, and hold harmless Akrylic and its officers, directors, shareholders, affiliates, employees, agents, contractors, assigns, users, customers, providers, licensees, and successors in interest from and against any and all claims, losses, liabilities, damages, fees, expenses, and costs (including attorneys' fees, court costs, damage awards, and settlement amounts) arising in any manner from: (a) your access to or use of the Site, Services, or Akrylic Content; (b) User Content, Your Information and any other content or information you provide through the Site or Services; (c) your artwork; and (d) your breach of applicable law, or of any representation, warranty, or other provision of these Terms.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Site or the Services or these Terms must be brought, if at all, within one year from the accrual of the claim or cause of action or be forever barred. You and Akrylic agree that these Terms and any claims hereunder shall be governed by and subject to the laws of the province of Ontario, without giving effect to any principles of conflicts of law. Subject to Section 14 below, you agree to personal jurisdiction by and venue in the state or federal courts located in Toronto, Ontario.
14.1 Waiver of Jury Trial. Each party irrevocably and unconditionally waives any right we or you may have to a trial by jury for any legal action arising out of or relating to these Terms or the transactions contemplated hereby. Any proceedings to resolve or litigate any Dispute in any forum will be conducted solely on an individual basis.
14.2 Waiver of Class Action. You agree that you will not seek to have any Dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.
No joint venture, partnership, employment, or agency relationship exists between you and Akrylic as a result of these Terms or use of the Site, Services, or Akrylic Content. The failure of Akrylic to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by Akrylic in writing. These Terms constitute the entire agreement between you and Akrylic and govern your use of the Site, Services, and Akrylic Content.
